1. Parties

Company Blink It ("Company", "we", "us", or "our"), a company operating under the laws of the United Arab Emirates.
Client The individual, company, or other legal entity engaging the Company's services ("Client", "you", or "your"). By accepting a proposal, signing a quotation, entering into a service agreement, or otherwise instructing the Company to commence work, the Client agrees to be bound by these Terms and Conditions.

2. Scope of Services

The Company provides comprehensive interior design and related services, including but not limited to:

• Project diagnostics and consultation
• Concept development and space planning
• Interior design and technical documentation
• Design supervision and implementation support
• Furniture, décor, styling, and final project handover

The exact scope of services, deliverables, timelines, and fees shall be specified in the relevant proposal, quotation, or service agreement.

3. Quotations and Proposals

1. All quotations and proposals remain valid for the period specified therein.
2. No quotation or proposal shall constitute a binding agreement until accepted in writing by the Client.
3. The Company reserves the right to revise proposals where project requirements change

4. Client Obligations

The Client agrees to:
1. Provide complete and accurate information required for the project.
2. Ensure timely feedback, approvals, and communication.
3. Provide site access where necessary.
4. Make payments in accordance with agreed schedules.
5. Obtain all permits, approvals, and third-party consents unless otherwise agreed in writing.

5. Fees and Payment

1. Fees and payment schedules shall be set out in the relevant proposal or agreement.
2. Unless otherwise stated, all amounts are in AED and exclusive of VAT and other applicable taxes.
3. Late payments may result in suspension of services until outstanding amounts are paid.
4. Additional services requested outside the agreed scope will be charged separately.

6. Intellectual Property

All designs, drawings, specifications, visualizations, concepts, and related materials remain the intellectual property of the Company until full payment has been received.
Upon receipt of full payment, the Client is granted a non-exclusive license to use the deliverables solely for the project for which they were created. The Client shall not reproduce, modify, distribute, or reuse the deliverables for any other purpose without prior written consent from the Company.

7. Project Implementation

Unless expressly agreed otherwise, the Company does not act as a general contractor, Where design supervision or author’s oversight is provided, the Company’s role is limited to monitoring adherence to the approved design concept.
Contractors remain solely responsible for workmanship, safety compliance, and adherence to applicable laws and regulations.

8. Liability

• The Company shall exercise reasonable skill, care, and professional diligence in providing its services.


• To the fullest extent permitted by UAE law, the Company's total liability for any claim arising out of or in connection with the services shall not exceed the total fees paid by the Client under the relevant agreement.


• The Company shall not be liable for indirect, incidental, consequential, or special losses, including loss of profit, business interruption, or delays caused by third parties.


• Nothing in these Terms excludes any rights that cannot legally be excluded under applicable UAE law.

Force Majeure

The Company shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to:

1. Natural disasters
2. Government actions or restrictions
3. Supply chain disruptions
4. Labour disputes
5. Public emergencies
6. Utility failures
7. Any other force majeure event

9. Termination

Either party may terminate the engagement by written notice if the other party materially breaches these Terms and fails to remedy such breach within a reasonable period. The Client may terminate the engagement at any time by written notice, provided that:
1. All completed work is paid for in full.
2. Any committed costs incurred before termination are reimbursed.

Upon termination and receipt of all outstanding payments, the Company shall deliver completed work produced up to the termination date.

10. Governing Law and Jurisdiction

These Terms and any related agreements shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

11. Miscellaneous

Entire Agreement

These Terms, together with any accepted proposal, quotation, or service agreement, constitute the entire agreement between the parties.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment

The Company may assign or transfer its rights and obligations under these Terms upon written notice to the Client.

Waiver

Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights under these Terms.
